A Microsoft audit may focus on deployment counts. An Oracle Java review may focus on employee or user populations. For IBM software licensed by a core-based metric, an audit can turn on how many processor cores were available to the software, on which hardware, and at what peak over time. That makes hardware topology, virtualization boundaries, and the applicable license metric central to the analysis.
Here is the short version. The letter is formal, the data request will arrive fast, and the claim may be built on metric assumptions as well as a list of what you installed. Do not send data before you understand the request. Route everything through one owner. Check your ILMT posture before you say anything of substance, because it can determine whether IBM’s sub-capacity terms are available for eligible deployments.
Why IBM audits are different
PVU, the Processor Value Unit, is one of IBM’s core-based software licensing metrics. For PVU-licensed software, required entitlements are based on processor technology and the processor cores made available to the program. Not the cores it actively uses. The cores made available to it.
In a physical environment that may be straightforward. In a virtualized one, a small workload on a large cluster raises a key question for core-based licensing: does the software require entitlements for the virtual capacity made available to it, or for the full physical capacity defined by the applicable IBM terms?
IBM’s sub-capacity terms can allow an eligible product in an eligible virtualization environment to be licensed for less than the server’s full physical capacity, but only when the applicable requirements are met.
The rule that builds the number: sub-capacity and ILMT
IBM’s sub-capacity terms are published, and they are strict. Sub-capacity licensing requires the IBM License Metric Tool, ILMT, deployed within 90 days of your first eligible sub-capacity deployment, covering the eligible environments, with reports analyzed, reconciled, and signed at least quarterly.
If the applicable sub-capacity requirements are not met, IBM’s terms can require full-capacity licensing: the activated processor cores in the physical hardware environment made available to or managed by the program, rather than only the eligible virtualized capacity.
Run the logic on any virtualized estate and you can see how the claims get so large. A workload sized for 8 cores, on a cluster of 200, licensed at full capacity, is a 25x multiplier before anyone discusses deployment counts. Layer in years of back maintenance and the number on the letter stops being surprising.
This is also where audits are won. The full-capacity default, the peak calculations, the assumptions about which environments were eligible and when: each is a methodology choice by the auditor, and methodology choices can be checked, challenged, and corrected against documented facts.
What the letter starts
An IBM audit is formal from day one and cites the applicable verification clause. IBM may use a third-party firm to collect data and model the position. Expect requests for deployment data, virtualization topology, ILMT reports if they exist, and entitlement records.
The engagement feels procedural, which is the danger. Companies treat the data request like an IT ticket, export everything, and send it. From that point the auditor models your position on their assumptions, and every later conversation happens inside their frame. The first package you send is the anchor. Send it before you understand your own position and you have handed the anchor to the other side.
The first 48 hours: what to do, in order
1. Acknowledge receipt. Commit to nothing. Confirm the letter arrived and is being routed appropriately. Do not confirm platforms, tools, or ILMT status. Do not accept a kickoff date under pressure.
2. Route it to one owner. One point of contact, usually procurement or legal, handles all auditor correspondence. Auditors ask well-meaning engineers “quick technical questions” for a reason. One door in, one door out.
3. Do not send data or run collection scripts yet. You will be asked quickly. The correct sequence is position first, data second. This is the same discipline that works in any publisher audit, and with IBM the stakes on sequencing are higher because the metrics are more complex.
4. Check your ILMT posture immediately. Deployed or not. Covering every eligible virtualized environment or not. Quarterly reconciled reports or not. This is the single fact that most determines whether the auditor’s model starts from sub-capacity or full capacity.
5. Map your entitlements. Pull Passport Advantage records, contracts, and proofs of entitlement. IBM’s estate records are often decades deep, with acquisitions, bundles, and renamed products in the mix. What you own is frequently more than the audit assumes.
6. Build a defensible position before engaging on substance. Know your exposure, on your numbers, and know where the methodology will overreach, before the first substantive meeting. The companies that pay list price for an audit are the ones that let the auditor’s model stand unchallenged.
